As appropriate and necessary, Enerchy will notify the relevant authorities of these incidents of misuse or unauthorised program incursions of the Enerchy website.

17.5 You acknowledge and accept that technology is not absolutely secure and that there is a risk that your Personal Information will not be secure when processed by means of technology. 20.2 Our failure to exercise or enforce any right or provision of this Privacy Policy shall not constitute a waiver of such right or provision.

20.3 Each provision of this Privacy Policy, and each part of any provision, is removable and detachable from the others. As far as the law allows, if any provision (or part of a provision) of this Privacy Policy is found by a court or authority of competent jurisdiction to be illegal, invalid or unenforceable (including without limitation, because it is not consistent with the law of another jurisdiction), it must be treated as if it was not included in this Privacy Policy and the rest of this Privacy Policy will still be valid and enforceable.

1. IMPORTANT PROVISIONS

To the extent that the Consumer Protection Act, No 68 of 2008 applies, we have a duty to point out certain important provisions in these Terms and Conditions to you. The clauses which contain these important provisions and the reasons why they are important are set out below. It is also very important that you read all of these clauses carefully, and not just what we say below.

1.1 Limitations of risk, legal responsibilities and liability. Clauses 4.1, 4.6, 4.7, 6.1, 6.2, 7.4 and 8.8 are important because they limit and exclude obligations, liabilities and legal responsibilities that we and other persons or entities may otherwise have to you. As a result of these clauses, your rights and remedies against us and these other persons and entities are limited and excluded. These clauses also limit and exclude your right to recover or make claims for losses, damages, liability or harm you or others may suffer.

1.2 Assumptions of risk, legal responsibilities and liability by you. Clauses 4.1 and 4.7 are important because you take on risk, legal responsibilities and liability. As a result of these clauses, you may also be responsible for claims and other amounts. You will also be responsible for, and you accept, various risks, damages, harm, and injury which may be suffered by you and others for what is stated in these clauses.

1.3 Acknowledgements of fact by you. Clauses 2.7, 3.11 and 4.1 are important because they each contain statements which are acknowledgements of fact by you. You will not be able to deny that the statements are true. We may take action against you and may have claims against you as a result of these statements.

1.4 Indemnities by you. Clause 4.7 requires you to indemnify (hold harmless) Enerchy and other persons or entities against claims, loss, damages, and harm that may be suffered by us and other persons or entities as a result of the events set out in clauses 4.7.1 to 4.7.5. You are also required to indemnify us and other persons and entities against claims for loss, damages, and harm that may be made by any person or entity as a result of those events. This places various risks, liabilities, obligations and legal responsibilities on you, and you will be responsible and liable for the payment of the value of the claims, loss, damages, and harm that may be suffered or claimed.

8. GOVERNING LAW

8.1 These Terms and Conditions are governed by the laws of the Republic of South Africa.

8.2 All proceedings, which may arise out of, or in connection with, the Enerchy Platforms will be brought solely in the appropriate court in the Republic of South Africa.

8.3 Our failure to exercise or enforce any provision of these Terms and Conditions will not constitute a waiver of such right or provision.

8.4 The suspension or termination of your access to the Enerchy Platforms under these Terms and Conditions will be without prejudice to any other rights or remedies to which Enerchy or you may be entitled under these Terms and Conditions or at law, and will not affect any accrued rights or liabilities of either party, nor the coming into or continuance in force of any provision of these Terms and Conditions which is expressly or by implication intended to come into or continue in force on or after such suspension or termination.

8.5 It is not intended that any part of these Terms and Conditions contravene any provision of any legislation which may apply. Therefore, all the provisions of these Terms and Conditions must be treated as being qualified, to the extent necessary, to ensure that the provisions of applicable legislation are complied with.

8.6 These Terms and Conditions, together with the Privacy Policy and any other terms expressly incorporated by reference, constitute the entire agreement between you and Enerchy relating to your access to and use of the Enerchy public website, and supersede all prior agreements, undertakings and representations, whether written, oral or tacit, relating to such subject matter. For the avoidance of doubt, these Terms and Conditions do not form part of, and do not supersede, the Enerchy Platform Terms and Conditions or any Product Schedule applicable to your use of the Enerchy application.

8.7 Any provision of these Terms and Conditions which is or becomes unenforceable in any jurisdiction, whether due to invalidity, illegality or otherwise, shall, in such jurisdiction only and only to the extent that it is so unenforceable, be treated as removed from these Terms and Conditions, without affecting the validity and enforceability of the remaining provisions, which will remain of full force and effect.

8.8 Enerchy will not be liable for any delay or failure to perform any obligation under these Terms and Conditions where the delay or failure results from any cause that is beyond Enerchy's reasonable control, including, without limitation, load shedding or other power disruptions, failure of telecommunications or internet infrastructure, acts of God, war, riot, civil unrest, or action taken by any government or public authority.

8.9 Enerchy may cede, assign, delegate, transfer or otherwise deal with its rights and/or obligations under these Terms and Conditions to any third party, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets, without your consent. You may not cede, assign, delegate or transfer any of your rights or obligations under these Terms and Conditions without Enerchy's prior written consent, and any such cession, assignment, delegation or transfer without our prior written consent shall be null and void. Subject to this clause, these Terms and Conditions will be to the benefit of, and binding upon, each party's successors and permitted assigns.

8.10 By accessing or using the Enerchy Platforms and accepting these Terms and Conditions electronically, you agree that such electronic acceptance and your use of the Enerchy Platforms satisfy any legal requirement under the Electronic Communications and Transactions Act 25 of 2002 or otherwise that these Terms and Conditions, and your agreement to them, be recorded or concluded in writing, and that no form of electronic or other signature is required for these Terms and Conditions to be binding on you.
